In order to access this network, you are required to agree to the following terms and conditions ("Agreement"). Access to this network is limited to:

1. current Nortel employee authorized to access this network in order to support their responsibilities; or
   
2. third parties that have been authorized by Nortel, in writing, to access this network in order to facilitate the sale or support of Nortel products.
   
   You further agree that:
   
   
3. the information and contents ("Information") of this network are proprietary and confidential to Nortel. Nortel owns and shall continue to own all rights in the Information, and except as otherwise expressly set forth herein, nothing contained in this Agreement shall be construed to license or grant any right, license or to otherwise authorize the use of the Information for any other purpose. Other than as expressly authorized by Nortel, none of the material made available to you may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form without Nortel' prior written permission: and
   
4. you will use the Information solely in the manner in which it is intended to be used and solely for the purpose for which access has been authorized; and
   
5. unless expressly authorized by Nortel, you will not disclose the Information and that at a minimum, you will use the same care and discretion to avoid disclosure, publication or dissemination of the Information on this network as you would use with your own similar content or information that you do not wish to disclose, publish or disseminate; and
   
6. other than where prohibited by law and subject to legal requirements, Nortel reserves the right to monitor your use of this network at any time and in any manner; and
   
7. Information is provided by Nortel on an "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND and is subject to change at any time without notice. NORTEL MAKES NO WARRANTIES WRITTEN OR ORAL, STATUTORY, EXPRESS OR IMPLIED WITH RESPECT TO THE TECHNICAL INFORMATION, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR AGAINST INFRINGEMENT. In no event shall Nortel or its agents or suppliers be liable to you for any actual direct damages, regardless of the cause and whether arising in contract, tort or otherwise IN NO EVENT SHALL NORTEL OR ITS AGENTS OR SUPPLIERS BE LIABLE FOR ANY OF THE FOLLOWING: A) DAMAGES BASED ON ANY THIRD PARTY CLAIM EXCEPT AS EXPRESSLY PROVIDED FOR HEREIN; B) LOSS OF, OR DAMAGE TO, COMPANY'S RECORDS, FILES OR DATA; OR C) INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS OR LOST SAVINGS), EVEN IF NORTEL IS INFORMED OF THEIR POSSIBILITY; and
   
8. this Agreement will be governed by the laws of the State of New York, without regard to its conflicts of laws provisions.
   

You are required to acknowledge that you have read all of the above and agree to and are bound by all of the terms and conditions in order to access this network.
